Vice President Legal / General Counsel

Our client is a leading biopharmaceutical company.  They have asked us to assist them in their search for a Vice President, Legal / General Counsel

Major tasks and responsibilities will include:

  • Serves as Corporate Secretary ensuring appropriate Board minutes, resolutions and related compliance activities are undertaken, including oversight of equity issuance and transfer processes.
  • Acts as HIPAA Security Officer, acts as HIPAA Privacy Officer and establishes / maintains Privacy program as it relates to Company’s HIPAA obligations.
  • Works with IT on cyber security practices and policies.
  • Reviews press releases, promotional materials and publications for appropriate IP disclosures and potential legal risks.
  • Serves as legal advisor on business transactions, acquisitions, divestitures, joint ventures, and licensing.
  • Serves as legal advisor on corporate security filings and compliance with SEC rules, tax matters, etc.
  • Manages outside counsel.
  • Works with finance and HR to oversee insurance practices, coverage limits, renewals, etc.
  • Responds to legal notices, complaints, subpoenas, etc.
  • Support HR in employment law and related matters.
  • Advises in intellectual property due diligence in potential mergers, acquisitions, licenses and other strategic initiatives that involve intellectual property as well as supervising outside counsel in a cost effective manner.
  • Advises transactional lawyers on the drafting, negotiating, and managing of license agreements, joint development agreements and other complex intellectual property agreements and/or transactions.
  • Provides general commercial contracting support for the global sales and marketing organization, including drafting and negotiating legal agreements with commercial customers (including hospitals, Group Purchasing Organizations and governmental entities) and service providers.
  • Provides legal guidance on compliance with various healthcare and competition laws such as anti-kickback, anti-trust, HIPPA, and Sunshine Act statutes and their implementing regulations.
  • Drafts and negotiates consulting, speaker, collaborative research, confidentiality, and material transfer agreements.
  • Assists in drafting, updating, and implementation of internal company guidelines and training materials regarding contracting processes and ethics.
  • Advises Pricing Committee on impact of pricing decisions on Government Price Reporting obligations, including Medicare, Medicaid and the Bipartisan Budget Act, as well as ensuring pricing governance and pricing policies are followed.

We seek candidates with the following qualifications:

  • A Bachelor’s Degree and Juris Doctor are required.
  • Must be an active membership in good standing with a state bar association.
  • Commercial experience with prior experience launching products is preferred.
  • A scientific acumen is highly preferred.
  • Must have 10 years of experience practicing law in the life science sector with a law firm or pharma/biotech company.
  • Experience in U.S. corporate securities filings, public fund raising experience is preferred.
  • Experience in managing HIPAA compliance and federal billing practices is preferred.
  • Must have knowledge of rules and regulations governing Pharma industry.
  • Must have experience in drafting, negotiating and providing counsel on commercial transactional matters.
  • Experience in regulatory and employment law is preferred.
  • Must be a self-starter, energetic, positive, analytical, and able to drive results, and have a proven ability to work as part of a cross-functional team.
  • Must exhibit the highest integrity, excellent judgment, and the ability to proactively recognize and effectively communicate legal issues to patent, legal, and general management.
  • Must have the ability to negotiate and influence agreements through constructive conflict resolution and providing business-oriented solutions to complex problems.
  • Must be highly motivated and experienced in successfully handling multiple projects with often short deadlines and have the ability to work independently and prioritize responsibly with minimal supervision.
